This agreement describes the terms and conditions for participation in the BM affiliate program. In this agreement, the term "Affiliate" refers to you (the applicant). In this agreement, “BM” refers to Beautiful Mandarin Language Institute, with whom you are entering this agreement. By applying to the BM affiliate program you are confirming that you have read the agreement and agree to the terms and conditions.

 

Affiliate Programs

There are two types of Affiliate programs with BM: one-time and recurring.

 

Commissions

For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the affiliate. Commissions can be viewed on the Affiliate Dashboard.

If the Affiliate is on a one-time payment option, they will receive a commission for each new signup.

If the Affiliate is on a recurring payment schedule, they will continue to accumulate commissions for each paid transaction by the customer for as long as the customer remains a paying customer. For Affiliates participating in the recurring program, commissions will also accumulate for plan upgrades and adding users.

 

Payment

An Affiliate can request a payment when their balance reaches a minimum balance of $15 USD. Payments can be requested every 30 days. Payment processing can take up to 30 days from the requested date. Payments will generally be paid out via PayPal.

 

Refunds

In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate’s balance.

 

Usage and Obligations

Affiliates are permitted to use the BM brand and marketing resources available in the Affiliates section of the BM application. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright, or any other rights to these materials.

Prohibited promotional methods

We are very careful with how it’s promoted, so we want affiliates who are 100% behind us too! The prohibited promotional methods listed below aren’t meant to scare you off – they’re here to protect you, and us, and our customers from any freaky or fraudulent activity, which is something we take pretty seriously. We know you’ll understand.  But here they are in writing just in case you’re not totally sure what is and what isn’t allowed.​

• Beautiful Mandarin may not be promoted on coupon sites. Customers who are searching for a coupon are already in the market for Beautiful Mandarin, so this method adds no value to Beautiful Mandarin.

• Paid advertising using your affiliate link is prohibited. Buying ads through services like Google AdWords, social ads, or retargeting ads and using our brand keywords and your affiliate link will result in affiliate account deactivation.

• Any type of spam is prohibited. Links, ads, emails, comments…. Please respect the posting rules of any 3rd-party websites you use to promote Beautiful Mandarin P.S. This is not an exhaustive list of spam methods; if we decide that your activity is spam, it’s spam.

• Any illegal activity or activity deemed offensive by us is prohibited. This may result in referrals being rejected and/or your affiliate account being deactivated. 

• We’re flattered, but please don’t pretend to be professionally associated with Beautiful Mandarin. Affiliates aren’t employees of Beautiful Mandarin and have no employee rights.

• Pretending to actually be Beautiful Mandarin is prohibited.

The Affiliate will never imply that they are acting on behalf of BM and will never advertise BM products directly. The Affiliate will never bid for advertisements that compete with BM.

 

The Affiliate will never represent themselves, BM, or their relationship with BM in a false or misleading way.

 

The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing BM.

Consequences of not-cool promotional methods

If your promotional methods step outside of these terms, your referrals may be rejected and we may disable your affiliate account. We reserve the right to do this and may or may not notify you in the instance that this occurs. Please use the allowed promotional methods, and help us to help you succeed as an affiliate!

 

Term and Termination

Either party has the right to terminate the agreement immediately without prior notice.

If the Affiliate terminates the agreement, no further commissions from BM will be paid for any past or future customer transactions.

If BM chooses to terminate the agreement, any balance greater than $15 USD will be paid to the affiliate within 60 days of termination. Balances that are smaller than $15 will be forfeited.

If the Affiliate is on a recurring program, BM will not be obligated for any future payments after termination.

 

Governing Law

This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of New York, without regard to its conflict of laws rules.

 

Arbitration

All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of New York. An award of arbitration may be confirmed in a court of competent jurisdiction.

 

Modification

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules.
